Equity Administration Manager

POSITION OBJECTIVES:


The Equity Administration Manager oversees the end-to-end administration of Takeda’s equity incentive plans. Responsibilities include



  • Ensuring the accurate processing of grants and transactions under the Takeda LTIP

  • Maintaining records of vesting schedules and/or exercise history, reviewing transactions for accuracy and compliance with applicable securities-related regulations or laws

  • Managing mobility equity processing with external vendor to ensure  the accurate tax reporting of all transactions.

  • Managing the day to day operations with the external equity administration vendor/broker


POSITION ACCOUNTABILITIES:



  • All aspects of worldwide equity administration, including managing transaction processing and data entry, reconciliations/audits for quality control, and related tax reporting.


  • Process all activity including grants, exercises, and share issuances

  • Ensure grant agreements are attached to each record and grant notices are issued

  • Validate the processing and correct recordkeeping of all new equity awards, RSU vestings, terminations, cancellations, and grant modifications.

  • Prepare and reconcile monthly, quarterly and custom reports on equity activity.

  • Spearhead process and workflow creation as well as improvement of day-to-day operations related to global equity administration.

  • Respond to inquiries from current, former, and potential employees about equity compensation.

  • Help develop and deliver employee and stakeholder education, trainings, and communications

  • Provide excellent customer service to equity participants at all levels of the organization


EDUCATION, BEHAVIORAL COMPETENCIES AND SKILLS:


Essential:


Bachelor’s Degree in Business Administration or the equivalent combination of education, training, and work experience



  • 6+ years of experience in administration of global equity programs for public companies.

  • Basic knowledge of federal and state laws and regulations regarding compensation practices

  • Broad experience with different equity award forms, i.e. RSU, PSU, stock option, and ESPP.

  • Demonstrated experience working directly with Equity Edge Online, EquatePlus, and other major third-party equity software systems and brokerage firms.

  • Strong Excel skills.

  • Strong verbal, written and interpersonal communication skills with an ability to communicate effectively with all levels of employees and internal/external partners.

  • Ability to manage highly confidential information with professionalism and unquestionable integrity

  • Ability to establish and maintain effective working relationships with employees, vendors, clients and public

  • Ability to interface with all levels of employees

  • Ability to be successful in a fast-paced environment and work effectively in a cross-functional team environment

  • Ability to prioritize, multi-task and maintain flexibility in a fast-paced, changing environment

  • Provide excellent customer service to equity participants at all levels of the organization

  • Experience with Workday a plus but not required.
