Counsel – Emerging Territories and CH

The Commercial Legal team in charge of a number of countries in Southern and Central Europe/Emerging Territories is looking for a high-performing, result-oriented Counsel with a passion for driving sales performance and influencing customers’ relationships. The Counsel will play a key role in supporting the dedicated Sales and Professional Services’ organisations and in negotiating transactions and commercial agreements with a focus on Emerging Territories and Switzerland for a portion of their time. The Counsel will be closely collaborating with the other internal compliance, privacy, security and sales supporting functions to ensure agreements are consistent with internal corporate policies and processes.
This position will be based in Morges (CH, Vaud) with the option of working from home
Responsibilities:
Review and negotiate commercial legal agreements such as non-disclosure agreements, master subscription agreements, professional services agreements and data privacy addenda with small and medium size customers.
Draft or review contractual special terms included in order forms.
Assist other more senior members of the team on various complex commercial legal agreements’ review and negotiation across the various jurisdictions covered by the team.
Provide support to the team in answering RFPs and associated legal questionnaires, including collecting relevant information internally.
Assist in compliance related matters such as review of declaration documents, customers’ codes of conduct or the equivalent.
Legal monitoring: legal research focused on existing and upcoming laws, regulations and administrative requirements applicable to the company’s business scope.
Help in developing and updating training materials.
Participate in cross-regional team projects.
Required Skills/Experience:
Qualified lawyer, with Swiss and/or EU Master II degree with an IT law specialization.
3 to 5 years’ experience as an in-house junior counsel ideally in a large international IT company and/or as a junior associate in the IT division of a law firm, with strong potential.
Excellent command of English, both written and oral. Business fluency in French, German and/or Italian will be an advantage.
Excellent negotiation and communication skills.
Impeccable drafting and proficient legal technical skills, with keen attention to detail.
Curious and flexible mindset; desire to work in a diverse international environment and in close collaboration with sales and sales support teams to close deals efficiently and with a practical, business-minded approach.
Team-spirited, can-do attitude, proactive, responsive and service-oriented mindset.
