Aufgaben/Verantwortlichkeiten

The core responsibilities of our Senior Project Manager M&A include:

 

Project Management

• Lead and run the deal flow of complex M&A and divesture projects from the beginning to the end


• Maintain relationships, tracking and nurturing targets for acquisition and partnering, as well as networking with financial institutions and external M&A specialists


•  Ensure professional project management of M&A transactions (end-to-end) including due diligence, VDR management, full integration planning incl. execution and reporting of key milestones to client stakeholders


•  As single point of contact, manages and ensures post-merger activities to exceed business plan targets and adhere to the business strategy


•  Oversee post-merger integration activities incl. IT work package during PMI phase to ensure best practice IT integration in a legacy environment

 

Process Management

• Communicate to key stakeholders throughout the organization (any function and division)


• Draft deal documentation such as proposals, teaser, memorandum, management presentation


• Support in other management, corporate development and decision-making activities as required


• Refine and further build and maintain as well as train an M&A / PMI concept and surrounding processes.


• Build a community of key contacts and know-how bearers for M&A / PMI topics

 

Analysis & Strategy

• Tap into Start-Up, Life Science Cluster and M&A ecosystems with a focus on trend scouting and target identification


• Compile company profiles of tier 1 target opportunities


• Work closely with executive team (C-level stakeholder) in developing and implementing the growth strategy


• Prepare and present financial modelling to support transactions and opportunities


• Prepare target selection by providing stand-alone evaluation, independent growth prospects, combined synergy prospects, integration costs and acquisition feasibility


• Create long-list / shortlist based on defined set of criteria and in close collaboration with relevant stakeholders


• Develop acquisition and combined equity story


• Define communication strategy


• Prepare negotiations, signing and closing

Qualifikationen

• Master's degree required, preferably in Business, Law, Organizational Development, Engineering or an related discipline


• Several years of experience in a similar position


• You thrive in being hands on, and don’t shy away from getting involved across all levels of the organization with a positive can-do attitude.


• Excellent verbal and written communications skills in German and English


• Solid track record in end to end (incl. post-merger) M&A transaction management


• Strong communication skills with C level stakeholders


• Strong analytical, strategic planning & project management skills. Results-focused with an attention to detail


• Highly adaptable and independent, you are comfortable operating in both start-up and corporate environments


• Proficient project management skills


• Ability to work independently and as part of a wider team


• You are consciously pragmatic – e.g. you know the difference between agile and flexible, between theory and application and navigate that space in between actively.


• You believe that everything gets done by and with people and you know that trust has to be built through action (say what you do an deliver on it – but without losing your sense of humor and understanding for others).


• Deep technology understanding from hard- to software
