Assistant Company Secretary 100%


Responsibilities



  • Ensuring effective servicing of the Group Board of Directors and other company boards and
    committees by arranging meetings, drafting agendas and collating and creating board packs

  • Compiling agendas based on actions from previous minutes and standing agendas

  • Communicating key deadlines for pack production to stakeholders/presenters ahead of time

  • Attending and minuting board meetings where required

  • Arranging and recording ad hoc board approvals

  • Ensuring the timely completion of statutory filings

  • Filing statutory accounts including maintaining a timetable, liaising with the Finance Department
    and auditors, reviewing draft accounts, arranging board approvals, director signatures and timely
    filing with Companies House

  • Monitoring and assisting with the filing of confirmation statements

  • Assisting the Group Company Secretary and the UK Head of Company Secretary with other ad
    hoc tasks as required including director changes, allotments, liquidations, new company
    incorporations, share transfers and such other duties as may be allocated

  • Ensuring the maintenance and timely update of statutory records and registers

  • Providing advice on company secretarial matters including processes, statutory requirements,
    corporate governance matters, procedures


Requirements



  • Associate of the Institute of Chartered Secretaries and Administrators or part-qualified preferred

  • Previous experience of attending board and committee meetings and producing high quality minutes
    essential

  • Law or paralegal degree would be an advantage

  • Previous asset management and/or financial industry experience preferred

  • Fluent verbal and communication skills in English, German is a plus

  • Highly organised and self-motivated with good time management with the ability to work to deadlines

  • A team player with a proactive and flexible attitude
