M&A Controller 100%


What you will do

You will manage all M&A activities from the financial point of view. This position reports to the Head Group Controlling, supports the CFO and team in financial and administrative matters. You will lead internal integration project for Finance (including Finance part in IT, Tax) of acquired companies and lead interdisciplinary teams and projects in Finance/Business Process globally and/or in specific legal entities.
  
Responsibilities will include



  • Review and analysis of past and future financial data/models

  • Preparation and definition of the scope for external finance due diligence

  • Request for proposal, negotiations with advisors regarding the finance due diligence scope

  • Execution and organization of financial due diligence

  • Execution of company valuations

  • Prepare/review/negotiate SPAs from a finance perspective

  • Lead internal integration project for Finance, including IT, tax

  • Lead, if required, acquired company’s finance department up to 18 months after closing

  • Prepare financial models and analysis, documentation and presentations

  • Development and evaluation of transaction structures

  • Liaise with acquired company personnel, global M&A team and country specific controllers

  • Review documentation supporting goodwill adjustments

  • Review and control of acquisition costs

  • Manage the close process for post-acquisition

  • Perform balance migrations from the acquired company ledger to Tecan’s ledger

  • Prepare/review balance sheet reconciliations and resolve reconciling items

  • Cooperate and support the preparation of M&A strategy, especially from the financial point of view

  • Support on projects in the post close and integration phase

  • Ad Hoc reporting and other projects

  • Job-hopper worldwide

  


What you bring along 



  • Certified Accounting degree, Bachelor degree is a plus

  • Several years of experience in financial accounting

  • A minimum of 3 years of experience in a similar position or as Controller of a business unit in a worldwide organization. International experience is a plus

  • M&A specific project knowledge is a must

  • Prior experience in project management

  • Solid IT skills in Excel, PowerPoint, SAP R3 and Business Warehouse

  • Fluent skills in German and English

  • Professional and trustworthy attitude to work

  • Strong analytical skills and logical thinking

  • Ability to recognize and manage potential problem areas and resolve them with integrity

  • Clear and persuasive communication

  • Multi-tasking and decision making skills

  • High level of commitment and initiative

  • Capable of working under high pressure
