Job Summary
The jobholder will be the Company Secretary of all SCOR Swiss legal entities and certain SCOR legal entities within the EMEA Hub, attends and minutes Board and Committee meetings, supports the Senior Legal Counsel on all corporate legal, regulatory, compliance and administrative matters and coordinates with relevant stakeholders by engaging professional expertise, communication and state of the art operating tools and processes.


 


Key duties and responsibilities
 


1.Company Secretary to SCOR legal entities



  • Act as Company Secretary and take the minutes of Board and Committee meetings

  • Prepare the Board and Committee meetings (agendas, motions, documentation, meeting calendar) and coordinate all necessary action to be taken with relevant stakeholders, including senior management

  • Support the Senior Legal Counsel in taking all necessary corporate and regulatory preparation, follow-up and monitoring actions, including interactions with the Swiss Financial Supervisory Authority (FINMA), commercial register and notary

  • Support the Senior Legal Counsel in advising, providing assessment and guidance to the SCOR Swiss legal entities in legal corporate and governance as well as regulatory and compliance matters

  • Take all necessary organizational, secretarial and administrative action in company secretarial matters

  • Independently administer IT tools and platforms for Board and Committee meetings

  • Maintain cost control and budgeting of Board remuneration


 


2. Legal and Regulatory Support



  • Support on FINMA matters, including liaising with relevant stakeholders, collecting, assessing and preparing information and documentation

  • Support the Senior Legal Counsel in providing legal & regulatory advice (e.g. performing research or writing memorandums on legal, regulatory or compliance matters, drafting and reviewing standard contracts, confidentiality agreements and other legal documents)

  • Ensure filings to supervisory authorities in foreign jurisdiction to keep current or renew reinsurance licenses or registrations of the SCOR Swiss legal entities and branches in the various foreign jurisdictions

  • Ensure completeness and accuracy of internal data bases, IT tools and archiving (electronic and paper)

  • Provide administrative support and oversight on legal related cost centers (budget) monitoring in combination with cost controlling responsibility, process purchase orders and invoices electronically

  • Ensure the smooth functioning of the legal back office incl. organization and coordination of meetings, travels, and catering for Board and Committee meetings

  • Interact with and provide support to stakeholders within the EMEA Hub on relevant legal, regulatory or compliance matters as required


 


Required experience & competencies


 


Experience:



  • Experience as Company Secretary, in a law firm, legal department or running a CEO comparable office

  • Excellent understanding of the corporate processes (Board, Executive Management and Annual General Meeting) or keen interest in learning very quickly

  • Knowledgeable in corporate organization, legal processes and administration

  • Working in a large multicultural organization

  • Experience in the (re-)insurance, banking or finance area is a plus

  • Working Language: German skills on Mothertongue level is an indispensable requirement, very good / proficient English in writing and oral

Required Education



  • Bachelor of Law or comparable legal educational background qualifying as Company Secretary / Assistant Corporate Legal Counsel

  • Master degree is a plus
