Corporate Legal Matters Manager (m/f) 100%

Job Summary  


In this multifaceted position you will be responsible for providing the necessary specialized legal support for the Zimmer Biomet corporate structure in the entire EMEA region. You will also be able to support and work with the Tax and Treasury Departments to the implementation of complex corporate projects. Furthermore, you will train and supervise young legal professionals and will be able to gather valuable experience within an international environment.


Your main responsibilities:


  • Maintaining, drafting and reviewing corporate governance documents, preparing statutory filings for all EMEA legal entities as well as other group companies

  • Working with the Zimmer Biomet Tax and Treasury group on corporate transactions, including cross functional complex corporate projects (entity formation, post-acquisition integration efforts, corporate restructuring projects, consolidations of subsidiaries, formation and dissolution of foreign subsidiaries in various jurisdictions)

  • Drafting and managing HCPs agreements and other legal documents

  • Maintaining the Zimmer Biomet group’s entity management system in the EMEA region; tracking, calendaring and supervising deadline-driven documents

  • Advising internal clients and outside counsels on corporate matters

  • Working on other special projects, as needed or assigned by attorneys or Head of EMEA Legal Department

  • Provide training, assign duties and tasks and supervising the work of legal trainees, paralegals and young legal professionals


Your Qualifications and Experience:


  • Bachelor’s degree; Master’s Degree is a distinctive advantage, preferably in the area of law, international law or risk management

  • At least 6 years aggregate experience in the legal department of an internationally structured company or in a law firm specialized in corporate matters or corporate transactions

  • Sound knowledge of corporate structure, documentations and transactions

  • Familiarity with compliance and risk management issues

  • Basic knowledge of financial management and corporate and tax law

  • Able to work both independently and in cross functional teams

  • Excellent organizational and time-management skills

  • Able to handle multiple projects simultaneously while meeting short deadlines

  • Able to perform well under stress and to prioritize tasks

  • Good knowledge of the most commonly used IT tools and programs

  • Fluency or proficiency in English and German; French is a plus
