Project Finance Lawyer

The Trans Adriatic Pipeline (TAP) AG is a joint venture company established with the purpose of planning, developing and building the TAP natural gas pipeline. TAP’s shareholding is comprised of BP (20%), SNAM (20%), SOCAR (20%), Fluxys (19%), Enagás (16%) and Axpo (5%).


The role is responsible to provide legal advice and support the TAP Project Financing Process and corporate law/Corporate Governance matters with dotted reporting line to the Head of Project Finance.


 


This includes:


 



  • Responsible to provide legal advice necessary for limited recourse Project Financing

  • Responsible to provide legal advice necessary for corporate law/Corporate Governance matters

  • Managing the external legal advisors to the extent of their PF/TAP Corporate Governance involvement; ensuring advisors remain internally aligned in regard to other TAP work streams

  • Supporting and participating in the negotiations of the financial terms and conditions of the financing agreements with core IFIs, ECAs and Commercial Banks

  • Assist with coordination of Lender Due Diligence Teams and the TAP organisation

  • Contribute legal advice to TAP Management and shareholders as required in connection with corporate law and TAP governance matters


  • Support and participate in the production of reports for lenders post signing; monitor compliance with relevant provisions of the finance documents (Representations and Warranties and Covenants)


 


Experience



  • Min 10 years of professional experience in Project Finance and Corporate law gained both at an international  law firm and in in-house legal departments of multinational companies and/or  with a project proponent(s) or bank

  • <span style="mso-ansi-language: EN-GB; mso-fareast-font-family: "Microsoft JhengHei"; mso-fareast-theme-font: minor-fareast; mso-bidi-font-family: "Times New Roman"; mso-fareast-language: ZH-TW; mso-bidi-language: AR-SA; mso-themecolor: text2;">Project Financing for large scale infrastructure projects

  • Focus on project delivery, capability to steer and manage advisory firms


 


Education:


 



  • Qualified/admitted as a solicitor in a UK jurisdiction and/or in Switzerland (in this case with a demonstrable experience in a common law jurisdiction) 

  • Bachelor or Masters level of legal education
